Affiliate Program Terms & Conditions: What to Include and Why
Your affiliate program terms and conditions are the legal foundation of every publisher relationship in your program. Vague or incomplete terms create ambiguity that publishers exploit and that makes enforcement nearly impossible. This guide covers every element a comprehensive affiliate program agreement should include.
Commission Terms
The commission section must be unambiguous: Commission rate definition: specify the exact commission rate (or rates by publisher tier/product category); if you use tiered commissions, define each tier's rate and the criteria for tier assignment; if you have category-level rate exceptions (lower rate for certain product categories), specify each exception. Cookie window: define the exact cookie window duration in days; specify whether the cookie window resets on return visits; specify whether the last-click rule applies (it does in standard programs). Commission basis: define what the commission is calculated on — is it the sale price before or after discounts? Does it include shipping? Does it include taxes? Are subscription renewal orders commissionable or only the initial order? Commission reversal conditions: define the conditions under which commissions can be reversed — returns within the return window, fraud, policy violations, order cancellation; specify the reversal time window (the period during which reversed commissions can be deducted from pending payments); specifying reversal conditions prevents publisher disputes when commissions are reversed. Payment schedule and terms: define payment schedule (monthly is standard); define the minimum payment threshold (commissions must reach this amount before payment is issued); define the payment method (ACH, check, PayPal, wire); define the holding period for new publisher commissions (some programs hold first payment for 60-90 days to allow returns to be processed).
Approved and Prohibited Promotional Methods
This section defines what publishers can and cannot do: Approved methods (list explicitly): content publishing (blog posts, articles, reviews); social media promotion (organic posts); email marketing to opted-in lists; YouTube and video content; podcasting; comparison and review sites; price comparison aggregators; coupon and deal sites (if you choose to allow them). Prohibited methods (define each explicitly): Trademark and paid search: 'Publisher may not bid on [Brand Name] or any confusingly similar trademark in paid search advertising without prior written approval.' Specify whether generic category keywords that include the brand name are permitted. Misleading and deceptive practices: 'Publisher may not make false or misleading claims about [Brand Name] products, including unsubstantiated performance claims, fabricated testimonials, or deceptive before-and-after representations.' Cookie manipulation: 'Publisher may not engage in any form of cookie stuffing, forced redirect, or any technique that sets affiliate tracking cookies without a consumer's genuine engagement with publisher content or links.' Email spam: 'Publisher may not send affiliate promotional emails to individuals who have not explicitly opted in to receive the publisher's email communications.' Adult content adjacency: 'Publisher may not promote [Brand Name] products in conjunction with or adjacent to adult content, hate speech, extremist content, or content that [Brand Name] determines, in its sole discretion, to be brand-unsafe.' Unauthorized coupon code distribution: 'Publisher may not distribute promotional codes obtained from sources other than [Brand Name]'s official publisher resource center or direct publisher communication.'
FTC Disclosure and Compliance Requirements
Disclosure requirements must be specified in the agreement: Required disclosure language: provide the specific disclosure language publishers must use — 'This post contains affiliate links. I earn a commission if you purchase through my links at no additional cost to you.' Placement requirements: 'Disclosures must appear before the first affiliate link in any piece of content and must be clearly visible to consumers before they engage with affiliate links.' Platform-specific requirements: 'For video content, disclosure must be made verbally in the video itself and in the video description. For social media posts, disclosure must appear in the post text, not only in comments. For email, disclosure must appear in the email body before affiliate links.' What constitutes a non-compliant disclosure: 'The following disclosure formats do not satisfy FTC requirements under this agreement: disclosure only in a site-wide footer; disclosure that uses vague language like 'partnership' without explaining the financial relationship; disclosure that appears after affiliate links in the content.' Publisher compliance obligations: 'Publisher is solely responsible for compliance with all applicable FTC guidelines and platform-specific advertising disclosure requirements. [Brand Name] reserves the right to terminate Publisher's program participation and reverse commissions for content that does not comply with applicable disclosure requirements.'
Termination and Enforcement
Termination provisions determine how you enforce your terms: Termination for cause: define conditions that result in immediate termination (major policy violations): fraud, cookie stuffing, trademark domain registration, adult content adjacency, deliberate misrepresentation, persistent FTC non-compliance after cure notice. Termination with cure period: define conditions that trigger a cure notice and allow the publisher to correct: missing FTC disclosure, inaccurate product claim, unauthorized coupon code distribution; specify the cure period (14-30 days is standard). Effects of termination: specify what happens to pending commissions on termination — common approaches: commissions earned before violation are paid after standard payment cycle; commissions for the violation period may be reversed; commissions are forfeited entirely in fraud cases. Dispute resolution: specify the governing law for the agreement (your business's state/country); specify the dispute resolution mechanism (binding arbitration vs. litigation); specify whether disputes are individual or whether class action is waived. Program modification rights: '[Brand Name] reserves the right to modify program terms, commission rates, and cookie window duration at any time with [30 days'] notice to publishers.' This provision allows you to adjust your program economics without renegotiating individual agreements.
