Commission Structure & Payment Terms

Define: commission rate (percentage or flat CPA), commission basis (sale confirmation, not click), cookie duration, payment schedule (monthly, net-30), minimum payout threshold, payment methods, and currency for international publishers.

Approved Promotional Methods

List explicitly what publishers CAN do: content marketing, email marketing (to opted-in lists), social media organic posts, SEO content, paid social (if approved). List what they CANNOT do: SEM on brand terms, pop-up/pop-under ads, email spam, incentivized clicks.

Content Standards & Disclosure

Require: FTC-compliant affiliate disclosure on every piece of content, accurate product representations, no fake reviews, brand guideline compliance for logo usage. Specify approval process for content that mentions specific pricing or makes comparative claims.

Intellectual Property Rights

Brand owns all IP. Publisher may use approved creative assets only. Publisher grants brand a non-exclusive license to feature publisher-created content in brand marketing with attribution. Content created on brand commission (if any) is work-for-hire.

Termination & Transition

Specify: notice period for standard termination (30 days written), grounds for immediate termination (fraud, TOS violation, brand disparagement), post-termination link removal timeline (typically 30 days), commission handling for sales during notice period.

Dispute Resolution

Specify: governing law and jurisdiction, process for commission disputes (written request within 60 days of reversal), escalation path (account manager → legal), arbitration clause for disputes over threshold amount.
